TERMS OF SALES

By making a purchase, you acknowledge and agree to these Terms of Sales.

1. Introduction

Welcome to Digital Vibezz. These Terms of Sale outline the conditions governing the purchase of our digital products and freelance services. By purchasing from Digital Vibezz, you agree to abide by these terms.

2. Scope of Products and Services

Digital Vibezz, founded by Sabri Naouri, offers a range of digital marketing solutions, including digital products such as ebooks, guides, toolkits, and The Digital Growth Academy. We also provide freelance services including audits, marketing plans, advertising services, content creation, and digital marketing management. These services are available directly and through platforms such as Fiverr, Freelancer.com, Upwork, or by booking directly through the website.

3. Payment Terms

Payments for freelance services are due within 14 days of the invoice date. Payments for digital products and services are non-refundable once purchased.

A deposit of 50% of the total project value is required before work begins on any freelance engagement. The remaining balance is due within 14 days of the final invoice date. Digital Vibezz reserves the right to withhold delivery of final files or assets until full payment has been received.

If payment is not received by the due date, a late payment fee will be applied to the outstanding amount in accordance with Spanish Law 3/2004, of 29 December, on combating late payment in commercial transactions, which implements EU Directive 2011/7/EU. Interest is calculated at the European Central Bank reference rate plus 8 percentage points, from the invoice due date until full payment is received.

In addition, a fixed compensation fee of €40 per invoice will be charged for recovery costs, as permitted under Article 8 of Law 3/2004.

Failure to complete payment within 30 days of the due date may result in immediate suspension of all active services. Continued non-payment may result in full termination of the agreement, with all outstanding fees remaining due.

4. Deposit & Project Cancellation

A 50% deposit is required to secure a project start date. This deposit is non-refundable if the client cancels the project after work has commenced.

If a client cancels a project midway through delivery, a kill fee of 50% of the remaining project value will be charged in addition to any work already completed and invoiced. This compensates for time reserved and work undertaken that cannot be reassigned.

If Digital Vibezz cancels a project due to unforeseen circumstances, any deposit paid for work not yet started will be refunded in full.

5. Scope of work & Revisions

All projects are delivered based on the agreed scope outlined in the proposal or service agreement. Any work requested outside of this scope will be quoted separately before work begins.

Each project includes a maximum of two rounds of revisions unless otherwise agreed in writing. Additional revisions beyond this will be billed at the applicable hourly rate.

6. Intellectual property

All digital products, services, and content created by Digital Vibezz remain the intellectual property of Digital Vibezz until full payment has been received. Upon receipt of full payment, the client is granted a non-exclusive, non-transferable license to use purchased deliverables for personal or business purposes. Deliverables may not be resold, distributed, or modified without prior written permission from Digital Vibezz.

7. Affiliate Links

Digital Vibezz participates in affiliate marketing programs, promoting third-party products via Manychat, Notion, Wix, and TikTok Business on our website, blog, and social media. Purchases made through these links may generate a commission for Digital Vibezz.

8. Legal Jurisdiction

This agreement is governed by Spanish law. Digital Vibezz is registered in Spain and operates in compliance with the General Data Protection Regulation (GDPR) and applicable European Union directives.

9. Dispute Resolution

Any disputes arising under these terms shall first be addressed through direct communication between both parties. If no resolution is reached, disputes shall be resolved through mediation or arbitration in accordance with Spanish law and common freelancer practices.

10. Limitation of Liability

Digital Vibezz shall not be liable for any indirect, incidental, or consequential damages resulting from the use of our products or services. Digital Vibezz makes no guarantees regarding specific outcomes from digital marketing strategies or freelance services

9. Privacy & Data Protection

Digital Vibezz is committed to protecting customer data in compliance with GDPR. Any personal information collected during transactions is used solely for service fulfilment and communication purposes and will not be shared with third parties without consent.

10. Service Delivery & Timelines

For freelance services, Digital Vibezz will provide estimated delivery timelines at the start of each project. Timely delivery depends on the client providing all necessary information, files, and approvals as outlined in Section 13. Delays caused by late client input may affect agreed delivery dates.

13. Customer/Client Responsibilities

Clients must provide all necessary information, files, feedback, and approvals required to complete services within the agreed timeframes. Failure to do so may result in project delays, revised timelines, or additional charges. Digital Vibezz cannot be held responsible for delays directly caused by incomplete or late client input.

14. Suspension & Termination

Either party may terminate a service agreement if the other party fails to meet its obligations. Termination must be communicated in writing. In the event of client termination, any work completed up to the termination date will be invoiced and remains due. Outstanding fees do not lapse upon termination.

Digital Vibezz reserves the right to suspend active services immediately in the event of overdue payment, without prejudice to any other rights or remedies available.

15. Force Majeure

Digital Vibezz shall not be held liable for failure or delay in performing obligations due to events beyond reasonable control, including but not limited to natural disasters, technical failures, or government actions.

16. Amendments

Digital Vibezz reserves the right to modify these Terms of Sale at any time. Continued use of our products and services constitutes acceptance of any updates. Clients will be notified of material changes where applicable.
